Gmail AI Assistant Terms and Conditions

These terms and conditions are entered into by and between you (referred to as “Customer” or “you”) and Apps Record LLC (referred to as “Provider,” “we,” or “us”). The Provider and the Customer are collectively referred to as the “Parties.”

Acceptance of Terms

Please read this agreement carefully before using the AI Knowledge Base plugin for Gmail (the “Plugin”) or related services (the “Services”). By accessing or using the Plugin, you agree to be bound by these terms and our Privacy Policy. If you do not agree to these terms or do not consent to our use of your data, you must immediately stop using the Plugin and the Services.

We reserve the right to modify this agreement at any time without prior notice. Continued use of the Plugin after updates to the terms constitutes your acceptance of the revised agreement. It is your responsibility to periodically review this document for changes. If you do not agree with any amendments, you should discontinue using the Plugin.

Fees and Payments

Some features of the Plugin may require a subscription or one-time fee. You agree to provide accurate, complete, and current payment details when purchasing these features. You also agree to update your payment information as necessary, including email address, payment method, and card expiration dates.

We do not store your payment information. Payment processing is handled through third-party providers such as Stripe or PayPal.

  • Price Changes: We reserve the right to adjust pricing at any time.
  • Currency: All transactions are processed in U.S. dollars. Applicable sales tax may be added based on your location.
  • Error Corrections: We reserve the right to correct pricing errors, even after payment has been processed.

Support

For support, you can contact us at support@appsrecord.com or through the “Contact Us” section on our website. While we strive to provide timely and effective assistance, support is offered on a goodwill basis and is not guaranteed.

Termination of Services

We reserve the right to terminate accounts, subscriptions, or access to the Plugin at our discretion, without liability or notice. This includes, but is not limited to, scenarios where:

  • You violate these terms.
  • We decide to discontinue the Plugin or Services.

If terminated, all associated data, including user settings and modifications, will be deleted. You must cease using the Plugin immediately after termination.

Cancellation and Non-Payment

  • Switching from Free to Paid: If the Plugin transitions from free to paid, we will notify you in advance. You can cancel your subscription before the billing cycle begins.
  • Cancellation: You may cancel your subscription at any time. If you cancel mid-cycle, your access will continue until the end of the billing period. Your account will be terminated at the start of the next cycle.
  • Non-Payment: If payment is unsuccessful at the start of a billing cycle, access to paid features may be restricted.

Dispute Resolution

This agreement, its subject matter, and its formation (including any non-contractual disputes or claims) are governed by the laws of the State of Texas, without regard to its conflict of law provisions.

Both you and Apps Record LLC agree that any legal disputes, claims, or controversies arising out of or relating to these terms, the Plugin, or the Services will be resolved exclusively in the state or federal courts located in Travis County, Texas. By using the Plugin, you consent to the personal jurisdiction of these courts and waive any objections to jurisdiction or venue.

Informal Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally. You must notify us of any dispute by sending a detailed written description of your issue to info@appsrecord.com. We will make a good-faith effort to address and resolve the issue within 30 days of receipt of your notice. If the dispute cannot be resolved informally within this time, either party may proceed with formal legal action.

Mandatory Arbitration

For disputes that cannot be resolved informally, we may mutually agree to resolve the matter through binding arbitration. Any arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA), and the proceedings will take place in Austin, Texas. The arbitrator’s decision will be binding, and judgment on the award may be entered in any court having jurisdiction.

Waiver of Class Actions

You agree that any claims or disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class or representative proceeding. Arbitration or court proceedings will be conducted only on an individual basis, and neither you nor we consent to the consolidation of claims or arbitration with any other person’s or entity’s claims.

Equitable Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from the courts of Travis County, Texas, to protect intellectual property rights, proprietary information, or prevent unauthorized use of the Plugin.

By agreeing to these terms, you expressly waive any right to a jury trial or to participate in a class-action lawsuit related to disputes arising under this agreement.

Limitation of Liability

We are not liable for:

  • Service delays, malfunctions, or interruptions.
  • Errors, communication failures, or unauthorized access.
  • Security breaches, hacking, or malicious attacks.

While we implement strong security measures, the Plugin operates online, and vulnerabilities cannot be entirely eliminated.

Additionally, we are not responsible for third-party content or links accessed via the Plugin. Such links are not endorsements, and we disclaim liability for any harm caused by third-party websites.

Indemnification

You agree to indemnify and hold Apps Record LLC, its licensors, employees, contractors, agents, officers, and directors harmless from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:

  • Your use of the Plugin or Services.
  • Third-party access to the Plugin through your account.
